1. The Service
The Service is designed to help users collect, import, organize, manage, publish, and display reviews and testimonials, including through embeddable layouts such as sliders, carousels, grids, lists, badges, forms, dynamic QR code links, and similar formats.
BrandVerita may modify, suspend, limit, discontinue, or replace any part of the Service at any time, including features, integrations, import methods, display formats, usage limits, pricing, or plan structure, including where reasonably required for maintenance, security, legal compliance, operational needs, business changes, or third-party platform restrictions.
2. Eligibility and Accounts
Users must be at least 13 years old to use the Service. If a user is under the age of majority in the user’s jurisdiction, the user may use the Service only with the involvement and consent of a parent or legal guardian.
If a user is acting on behalf of a company, organization, or other entity, that user represents and warrants that they have authority to bind that entity to these Terms.
Users must provide accurate, current, and complete registration information, keep login credentials secure, and promptly notify BrandVerita of any unauthorized access, suspected compromise, or misuse of an account. Users are responsible for activity that occurs under their accounts.
BrandVerita may refuse registration, suspend access, or terminate accounts that are inaccurate, misleading, unlawful, abusive, high-risk, or otherwise in violation of these Terms.
3. Free and Paid Plans
The Service may include a free plan and one or more paid plans. Current plan names, prices, features, usage allowances, and billing intervals are published on the BrandVerita pricing page and are shown in the Service interface and at checkout before any charge is made. The prices and plan details presented at checkout govern the purchase.
Paid plans are offered on a monthly or annual billing interval. Annual plans are billed in advance for the full year unless otherwise stated at checkout.
Plan features, usage allowances, token allocations, limits, and availability may be described in the Service interface, on the pricing page, or during checkout. BrandVerita may change, add, limit, or discontinue features or plans on a prospective basis.
BrandVerita does not guarantee that any free plan, beta access, or trial-style feature will remain available for any minimum period.
4. Billing, Renewals, Cancellation, and Refunds
Paid subscriptions are billed in advance on a recurring basis and automatically renew at the end of each billing cycle unless canceled before the next renewal date. By subscribing, the user authorizes BrandVerita and its payment processor to charge the selected payment method for subscription fees, applicable taxes, and related charges.
BrandVerita may update pricing, plan features, token allocations, usage limits, or billing terms on a prospective basis. Any such change will apply only to future billing periods after notice where required by law.
Users may cancel subscriptions at any time through available in-product billing controls or by contacting BrandVerita. Unless applicable law requires otherwise, cancellation takes effect at the end of the then-current billing period, and the user will retain access to paid features until that period ends.
Except where required by law, BrandVerita does not provide prorated refunds, credits, or reimbursements for partial billing periods, unused time, unused features, unused token allotments, downgrades, or any unused portion of a monthly or annual subscription term after cancellation.
BrandVerita will provide a full refund if the user requests it within 7 calendar days of the first charge for the account’s first paid subscription, provided the account has not been materially abused or used in bad faith. Abuse or bad-faith use may include excessive token consumption, bulk imports, bulk exports, unusual automated high-volume activity, repeated refund-driven account cycling, or other usage inconsistent with a genuine evaluation of the Service.
The 7-day refund option applies only to the first paid subscription purchase for the account and does not apply to renewal charges, add-ons, token packs, credits, custom work, professional services, setup services, or promotional purchases, except where required by law.
Refund requests must be sent to the contact address given in the Contact section of these Terms.
If payment is declined, reversed, charged back, or otherwise not successfully completed, BrandVerita may suspend, downgrade, limit, or terminate access to paid features until all outstanding amounts are paid in full.
Full refund available within 7 days of the first paid subscription only. No prorated refunds are issued for unused time or unused portions of a subscription term.
5. User Content
Users may upload, submit, import, collect, organize, configure, publish, or display content through the Service, including reviews, testimonials, ratings, names, images, business information, tags, notes, form submissions, and widget settings (collectively, “User Content”).
Users retain their rights in User Content they own, but grant BrandVerita a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, display, and otherwise use User Content as reasonably necessary to provide, operate, secure, maintain, improve, support, and enforce the Service and these Terms.
This license is limited to Service-related purposes such as hosting, troubleshooting, abuse prevention, customer support, backup, analytics, moderation, legal compliance, and feature operation.
6. Review Imports and Third-Party Content
The Service may allow users to import, collect, organize, display, or publish reviews, ratings, names, images, business details, or other material from third-party sources such as review platforms, public business listings, forms, or similar online sources. Those sources are independent from BrandVerita and may change, restrict, or discontinue access at any time.
Users are solely responsible for determining whether they may lawfully access, import, extract, reproduce, store, display, syndicate, or republish any content obtained from third-party sources. Users represent and warrant that they have all permissions, rights, consents, and lawful basis necessary for any content they upload, import, extract, publish, or display through the Service.
BrandVerita does not guarantee that any source, integration, method, or imported data will remain available, accurate, complete, permitted, uninterrupted, or compatible with the Service. BrandVerita may disable, remove, limit, or discontinue any source connection, import method, integration, or publication feature at any time for legal, contractual, platform, technical, security, or operational reasons.
Changes to third-party platforms, APIs, access rules, rate limits, or permissions do not entitle users to refunds, credits, or compensation except where required by law.
7. Acceptable Use
Users may not use the Service in any way that violates law, regulation, third-party rights, platform rules, contractual restrictions, or these Terms.
Users may not upload, publish, request, generate, or display false, misleading, deceptive, defamatory, abusive, fraudulent, infringing, unlawful, or manipulated review material, including fake endorsements or misleading review presentations.
Users may not interfere with the Service’s operation or security, attempt to gain unauthorized access, reverse engineer the Service except where mandatory law permits it, bypass plan limits or access controls, overload infrastructure, or use unauthorized automation against BrandVerita systems.
8. Third-Party Services
The Service may rely on or integrate with third-party providers such as payment processors, hosting providers, email providers, analytics tools, authentication providers, AI tools, and external review platforms.
BrandVerita is not responsible for the availability, content, terms, data handling, security, products, services, or business practices of third-party services. User interactions with third-party services are governed by the applicable third-party terms and policies.
BrandVerita is not liable for losses, data issues, delays, disruptions, or compatibility problems caused by third-party systems, dependencies, integrations, platform changes, or provider outages, except to the extent liability cannot be excluded under applicable law.
9. Intellectual Property Rights
Without prejudice to any more specific provision of these Terms, all intellectual property rights in and to the Service, including all software, source code, object code, databases, interfaces, designs, layouts, widgets, embeds, documentation, text, graphics, branding, logos, trade names, service marks, domain names, features, and related materials, are and remain the exclusive property of BrandVerita or its licensors and are protected by applicable intellectual property laws and international treaties.
All trademarks, logos, service marks, trade dress, brand features, names, designs, illustrations, images, and other identifiers used in connection with the Service are and remain the exclusive property of BrandVerita or its licensors. Except as expressly permitted by BrandVerita, no user acquires any right, title, or interest in or to any such intellectual property.
Subject to these Terms, BrandVerita grants the user a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for the user’s internal business or personal use in accordance with the selected plan and these Terms.
Users may not copy, reproduce, distribute, modify, translate, create derivative works from, reverse engineer, decompile, disassemble, sell, lease, license, sublicense, resell, extract, frame, mirror, republish, or otherwise exploit the Service or any part of it except as expressly permitted by BrandVerita or by non-waivable law.
10. Disclaimer of Warranties and Service Availability
To the maximum extent permitted by law, the Service is provided strictly on an “as is” and “as available” basis, with all faults and without warranties of any kind. Use of the Service is at the user’s own risk.
To the maximum extent permitted by law, BrandVerita disclaims all conditions, representations, and warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, quiet enjoyment, system integration, and that the Service will operate without interruption or error.
No oral or written information, support communication, product roadmap statement, beta notice, marketing statement, documentation, or advice provided by BrandVerita or through the Service creates any warranty unless expressly stated in these Terms.
Without limiting the foregoing, BrandVerita does not warrant that the Service, any content, or any output will be accurate, complete, reliable, current, lawful, compatible, secure, uninterrupted, timely, free of harmful code, or suitable for the user’s business, compliance, platform, website, browser, mobile device, operating system, or specific use case.
BrandVerita does not warrant that defects, bugs, interruptions, downtime, review import failures, sync failures, QR redirects, embed display issues, form delivery issues, analytics gaps, token calculations, or other errors will be corrected, or that any feature or integration will continue to be available.
BrandVerita does not guarantee the availability, accuracy, legality, completeness, formatting, display, or continued accessibility of content imported from or linked to third-party platforms, nor that any third-party source will continue to permit importing, embedding, syndication, or republication.
Any content, data, exports, downloads, scripts, embed code, or other material obtained through the Service is accessed and used at the user’s own risk, and the user is solely responsible for any damage to systems, websites, devices, integrations, data, rankings, business records, or other property arising from such use.
BrandVerita does not warrant, endorse, guarantee, or assume responsibility for any third-party service, product, website, integration, plugin, payment provider, hosting provider, review platform, AI tool, or external resource made available, linked, referenced, or used in connection with the Service, and BrandVerita is not a party to transactions or disputes between users and such third parties.
The Service may become unavailable, inaccessible, degraded, delayed, or incompatible due to maintenance, updates, bugs, capacity limits, abuse prevention measures, security incidents, DNS issues, browser restrictions, device limitations, connectivity failures, or reasons outside BrandVerita’s reasonable control.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to the user to the extent prohibited by applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, BrandVerita and its affiliates, operators, officers, directors, employees, contractors, licensors, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business opportunity, customers, goodwill, reputation, anticipated savings, token value, use, data, business interruption, or other intangible losses arising out of or relating to the Service.
To the maximum extent permitted by law, BrandVerita will not be liable for any damage, loss, claim, or injury arising out of or relating to:
- any inability to use the Service, any outage, slowdown, interruption, delay, degradation, or cessation of transmission to or from the Service;
- any hacking, tampering, malware, ransomware, denial-of-service event, unauthorized access, or unauthorized use of the Service, the user’s account, or any data stored or transmitted through the Service;
- any errors, omissions, inaccuracies, formatting problems, display issues, broken embeds, failed imports, failed exports, failed redirects, or incomplete data;
- any loss of reviews, testimonials, records, analytics, user content, configuration settings, customizations, QR destinations, tags, form submissions, or other data;
- any user reliance on content imported, collected, displayed, summarized, syndicated, generated, or otherwise made available through the Service;
- any conduct, content, statements, reviews, ratings, defamatory content, illegal content, offensive content, fraudulent activity, or platform misuse by any user or third party;
- any third-party platform, provider, API, website, review source, app store, browser, hosting service, DNS provider, payment processor, analytics service, AI service, or other external dependency;
- any browser, device, operating system, theme, template, CMS, website builder, JavaScript conflict, CSS conflict, or other compatibility issue affecting embeds, widgets, scripts, or links;
- any taxes, penalties, fines, legal claims, regulatory issues, platform enforcement actions, takedowns, or disputes arising from the user’s collection, publication, import, display, or reuse of reviews or other content; or
- any force majeure event or circumstance outside BrandVerita’s reasonable control, including power failures, labor actions, telecommunications failures, hosting outages, or broader internet disruptions.
To the maximum extent permitted by law, BrandVerita’s total aggregate liability for all claims arising out of or relating to the Service will not exceed: (a) for a paying user, the total amount actually paid by that user to BrandVerita for the Service during the 12 months immediately preceding the event giving rise to the claim; or (b) for a user who has not paid BrandVerita during that period, $50.
This limitation of liability applies regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, restitution, or otherwise, and even if BrandVerita has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to the user to the extent prohibited by applicable law.
12. Indemnification
To the maximum extent permitted by law, the user agrees to defend, indemnify, and hold harmless BrandVerita and its affiliates, operators, officers, directors, employees, contractors, licensors, service providers, and representatives from and against any and all claims, actions, demands, proceedings, liabilities, damages, judgments, settlements, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:
- the user’s access to, use of, or misuse of the Service;
- the user’s User Content, imported content, published content, review requests, QR destinations, embedded widgets, forms, scripts, or any data transmitted to or through the Service;
- the user’s violation of these Terms, any representation or warranty in these Terms, or any applicable law, regulation, platform rule, or third-party term;
- the user’s infringement, misappropriation, or violation of any privacy right, publicity right, intellectual property right, contractual right, or other right of a third party;
- any claim that content imported, extracted, collected, copied, displayed, or distributed by the user through the Service was unauthorized, unlawful, misleading, false, defamatory, or otherwise improper;
- any activity occurring under the user’s account, credentials, API keys, embed code, or links, including by third parties using the account with or without the user’s knowledge where caused by the user’s failure to safeguard credentials or access;
- the user’s fraud, wilful misconduct, deceptive practices, fake review activity, manipulation of testimonials, or other abusive conduct; or
- any dispute between the user and any customer, reviewer, website visitor, business client, platform, payment provider, or other third party.
BrandVerita may, at its own expense, assume the exclusive defense and control of any matter subject to indemnification by the user, and the user agrees to cooperate with BrandVerita in the defense of such matter. The user may not settle any such matter in a manner that imposes liability or obligations on BrandVerita without BrandVerita’s prior written consent.
13. Suspension and Termination
BrandVerita may suspend, restrict, or terminate access to the Service at any time if it reasonably believes there is non-payment, abuse, fraud, infringement, unlawful conduct, security risk, excessive platform risk, operational risk, or any violation of these Terms.
Users may stop using the Service at any time and may request account closure, subject to any retention, billing, tax, fraud-prevention, dispute, and legal obligations that survive termination.
Termination or suspension does not entitle the user to a refund except as expressly stated in these Terms or as required by law, and does not affect accrued rights, payment obligations, or any provisions that by their nature should survive termination.
14. Changes to These Terms
BrandVerita reserves the right to amend or otherwise modify these Terms at any time. Where required by law, BrandVerita will appropriately inform users of material changes.
Such changes will affect the relationship with the user only for the future, unless otherwise required by applicable law.
The continued use of the Service after the effective date of the revised Terms constitutes the user’s acceptance of the updated Terms. If a user does not agree to the revised Terms, the user must stop using the Service.
If required by applicable law, BrandVerita will specify the date on which the modified Terms enter into force. To the extent applicable law requires, the prior version of the Terms will continue to govern the relationship before the revised Terms become effective.
15. Governing Law and Venue
These Terms are governed by the law of Thailand, being the place where the Owner is based as disclosed in the Contact section of these Terms, without regard to conflict of laws principles.
However, if the user qualifies as a consumer in a jurisdiction whose mandatory law provides a higher level of consumer protection, such mandatory consumer protections will prevail to the extent required by applicable law.
Unless applicable law provides otherwise, the courts of Thailand will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
16. Common Provisions
No waiver. BrandVerita’s failure to enforce any right or provision of these Terms will not operate as a waiver of that right or provision, and any waiver must be in writing and applies only to the specific instance stated.
Service interruption. BrandVerita may interrupt, suspend, or limit the Service for maintenance, updates, system changes, security measures, abuse prevention, legal compliance, or operational reasons, with or without notice as circumstances reasonably require.
Force majeure. BrandVerita will not be liable for any delay, failure, outage, or loss caused by events outside its reasonable control, including labor disputes, internet failures, power outages, hosting failures, infrastructure breakdowns, governmental actions, civil unrest, natural disasters, epidemics, or similar events.
Assignment. BrandVerita may assign, transfer, subcontract, or otherwise delegate any of its rights or obligations under these Terms. Users may not assign or transfer these Terms or any rights under them without BrandVerita’s prior written consent.
Entire agreement. These Terms, together with any policies or terms expressly incorporated by reference, constitute the entire agreement between the user and BrandVerita regarding the Service and supersede prior or contemporaneous communications on that subject.
17. Severability
If any provision of these Terms is held to be invalid, void, unlawful, or unenforceable under applicable law, that provision will be interpreted and enforced to the maximum extent permitted so as to reflect its original intent as closely as possible, and the remaining provisions will remain in full force and effect.
If applicable law in a user’s jurisdiction provides a different mandatory rule on partial invalidity or unenforceability, those mandatory rules will apply to that user to the extent required.
